These Terms of Service govern your access to and use of the Sendwise Japan platform and services. By creating an account or using our services, you agree to be bound by these terms. Please read them carefully.
Service Access and Account Management
Eligibility and Registration
You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our services. When creating an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Account Types and Access
We offer individual accounts for personal use and organizational accounts for businesses and institutions. Organizational accounts may include multiple user seats, administrative controls, and team management features. Access levels and permissions are determined by your subscription type and organizational role.
Account Security and Responsibility
You must not share your login credentials, use another person's account without permission, create multiple accounts for fraudulent purposes, or attempt to gain unauthorized access to our systems. You agree to notify us immediately of any security breach or unauthorized use of your account.
Service Usage and Restrictions
Acceptable Use
You may access our training content, complete lessons and assessments, use the inbox simulator, participate in phishing awareness drills, and download your progress reports and certificates. All content is provided for your personal or organizational training purposes only.
Prohibited Activities
You must not copy, reproduce, or redistribute our training content without permission; reverse engineer, decompile, or attempt to extract source code from our platform; use automated tools to scrape or download content; impersonate other users or organizations; interfere with platform operation or security; or use our services for any unlawful purpose.
Content Standards
When using interactive features or communicating with support, you agree not to submit content that is defamatory, harassing, threatening, discriminatory, or otherwise objectionable; violates intellectual property rights; contains malware or harmful code; or violates any applicable law or regulation.
Intellectual Property Rights
Our Ownership
All content, features, and functionality on our platform, including but not limited to training materials, software code, designs, graphics, text, videos, and the Sendwise Japan name and logo, are owned by us or our licensors and protected by copyright, trademark, and other intellectual property laws.
Limited License
We grant you a limited, non-exclusive, non-transferable license to access and use our platform for your personal or internal business training purposes. This license does not include any right to resell, redistribute, or commercially exploit our content or services.
User-Generated Content
If you submit feedback, suggestions, or other content to us, you grant us a worldwide, perpetual, royalty-free license to use, modify, and incorporate such content into our services without compensation or attribution.
Subscription Plans and Billing
Pricing and Payment
Subscription fees are billed in advance on a recurring basis according to your chosen plan. Prices are subject to change with reasonable notice. Payment must be made using approved methods, and you authorize us to charge your payment method for all applicable fees.
Automatic Renewal
Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You can manage your subscription and turn off automatic renewal in your account settings.
Cancellation and Refunds
You may cancel your subscription at any time. Upon cancellation, you will retain access until the end of your current billing period, after which your account will revert to a limited or inactive state. Refunds are provided at our discretion and in accordance with applicable consumer protection laws.
Free Trials and Promotional Offers
Free trial periods, if offered, allow you to evaluate our services before committing to a paid subscription. Promotional pricing is subject to specific terms and conditions provided at the time of the offer.
Organizational Accounts and Team Access
Administrator Responsibilities
Organization administrators are responsible for managing user accounts, assigning training requirements, monitoring team progress, and ensuring compliance with these terms by all team members under their organization's account.
Data Access and Reporting
Organizations have access to aggregated learning data, individual progress reports, completion status, and assessment results for users under their account. This data is provided for training management and compliance purposes.
Seat Management
Organizational subscriptions include a specified number of user seats. Additional seats can be added at the applicable rate. When users leave your organization, you should deactivate their accounts and may reassign seats to new users.
Service Availability and Performance
Platform Access
We strive to maintain high availability, but we do not guarantee uninterrupted access to our services. We may temporarily suspend access for maintenance, security updates, or technical reasons. We will provide advance notice of scheduled maintenance when possible.
Content Updates and Changes
We continuously improve our training content and platform features. Content may be updated, modified, or removed to reflect current best practices, security threats, and workplace communication standards. We reserve the right to modify or discontinue any feature with or without notice.
Technical Requirements
You are responsible for maintaining compatible devices, internet connectivity, and supported browsers necessary to access our services. We provide technical specifications and system requirements in our support documentation.
Disclaimers and Limitations
Service Provided As-Is
Our services are provided on an as-is and as-available basis without warranties of any kind, either express or implied. We do not guarantee that our services will meet your specific requirements, be error-free, secure, or uninterrupted.
No Professional Advice
Our training content is educational in nature and should not be considered legal, financial, or professional advice. While we strive for accuracy, we do not warrant that content is complete, current, or applicable to your specific situation.
Third-Party Content and Links
Our platform may include links to third-party websites, resources, or services that we do not control. We are not responsible for the content, accuracy, or practices of external sites.
Liability and Indemnification
Limitation of Liability
To the maximum extent permitted by law, Sendwise Japan shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use or inability to use our services.
Maximum Liability Cap
Our total liability to you for any claims arising from these terms or your use of our services shall not exceed the amount you paid us in the twelve months preceding the claim.
Indemnification
You agree to indemnify and hold Sendwise Japan harmless from any claims, losses, damages, and expenses, including legal fees, arising from your violation of these terms, misuse of our services, or infringement of any third-party rights.
Term and Termination
Term Duration
These terms remain in effect for as long as you have an active account or access our services. Provisions that by their nature should survive termination will continue to apply.
Termination by You
You may terminate your account at any time by following the cancellation process in your account settings or by contacting our support team. Upon termination, you will lose access to your account and any associated data.
Termination by Us
We reserve the right to suspend or terminate your account if you violate these terms, engage in fraudulent activity, cause harm to other users or our platform, or fail to pay applicable fees. We will provide notice when possible, but immediate termination may be necessary in serious cases.
Effect of Termination
Upon termination, your right to access and use our services ceases immediately. We may delete your account data in accordance with our data retention policies. You remain liable for any outstanding fees or obligations incurred before termination.
Dispute Resolution and Governing Law
Informal Resolution
If you have a concern or dispute, please contact us first so we can attempt to resolve it informally. We are committed to working with you to find a fair solution.
Governing Law and Jurisdiction
These terms are governed by the laws of Japan, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Tokyo, Japan.
Arbitration Agreement
For disputes that cannot be resolved informally, both parties agree to binding arbitration in accordance with the Commercial Arbitration Rules of the Japan Commercial Arbitration Association, unless prohibited by applicable law.
Changes to These Terms
We may modify these Terms of Service at any time to reflect changes in our services, legal requirements, or business practices. We will notify you of material changes by email or through a prominent notice on our platform at least 30 days before the changes take effect. Your continued use of our services after the effective date constitutes acceptance of the modified terms.
General Provisions
Entire Agreement
These terms, together with our Privacy Policy and any additional agreements you enter into with Sendwise Japan, constitute the entire agreement between you and us regarding our services.
Severability
If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
No Waiver
Our failure to enforce any provision of these terms does not constitute a waiver of that provision or our right to enforce it in the future.
Assignment
You may not assign or transfer your rights or obligations under these terms without our prior written consent. We may assign these terms in connection with a merger, acquisition, or sale of assets.
